These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Pragma Management International - FZCO ("Company," "we," "our," or "us") regarding your use of our relocation, immigration, and corporate services.

By engaging our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Corporate Services

• Company formation and business setup
• Free zone and mainland business registration
• Trade license applications and renewals
• Corporate banking assistance
• Legal documentation and compliance services

Relocation Services

• Housing search and accommodation assistance
• School enrollment and educational support
• Utility setup and government registration
• Healthcare and insurance guidance
• Cultural orientation and settlement support

Our website and services are intended solely for individuals who are at least 18 years of age (or the legal age of majority in your jurisdiction). We do not knowingly solicit, collect, or process data from children under the age of 18. By using our services, you warrant that you meet this age requirement and possess the legal capacity to enter into this agreement.

As our client, you agree to:

• Provide accurate, complete, and truthful information
• Submit all required documents in a timely manner
• Pay all fees and charges as agreed
• Comply with UAE laws and regulations
• Inform us promptly of any changes in circumstances
• Cooperate fully throughout the service process
• Attend all required appointments and meetings

Any false or misleading information provided may result in service termination, legal consequences, and forfeiture of fees paid.

No Outcome Guarantee

We provide professional services to facilitate your applications and processes. However, we cannot guarantee specific outcomes, approvals, or timelines due to factors beyond our control, including:

• Government policy changes and regulatory updates
• Authority processing times and procedures
• Economic and political conditions
• Individual circumstances and eligibility

Marketing & Pricing Disclaimer

Any descriptions of services, promotional materials, case studies, or pricing estimates displayed on our website or marketing channels are provided for illustrative and informational purposes only. They do not constitute a binding legal offer or a guarantee of final pricing. Final pricing, deliverables, and timelines are strictly governed by your individual Service Agreement.

Third-Party Services & Liability

We may engage third-party service providers for specific tasks. While we select reputable partners, we act solely as an intermediary. To the maximum extent permitted by law, we are not liable for any actions, omissions, delays, or service quality deficiencies caused by these third parties beyond our reasonable control.

Legal Advice Disclaimer

Our services include guidance and assistance but do not constitute legal advice unless specifically provided by qualified legal professionals within our network.

Service Fees

• All fees are quoted in UAE Dirhams (AED) unless otherwise specified
• Service fees are separate from government charges and third-party costs
• Payment schedules are outlined in individual service agreements
• Late payment may incur additional charges and service delays

Government and Third-Party Fees

Government fees, visa charges, legal documentation costs, and other official expenses are payable directly to the respective authorities and are not included in our service fees.

Fee Changes

We reserve the right to adjust fees due to changes in government charges, regulatory requirements, or unforeseen circumstances. Clients will be notified of any changes before implementation.

Refund Precedence Clause

All refund eligibility, timelines, and exclusions depend on the stage of service completion and are explicitly governed by our separate Refund Policy. In the event of any conflict, discrepancy, or inconsistency between the wording in these Terms & Conditions and the Refund Policy, the terms of the Refund Policy shall take operational precedence. Nothing in these terms is intended to limit or exclude your mandatory statutory consumer rights under applicable local laws.

Client Cancellation

You may cancel services with written notice. Refund eligibility is subject to our refund policy.

Company Termination

We may terminate services if:

• Payment obligations are not met
• False information is provided
• Client fails to cooperate or provide required documents
• Legal or regulatory issues arise
• Service becomes impossible or impractical to deliver

Post-Termination

Upon termination, we will return client documents and provide a final accounting of services rendered and fees owed.

We maintain strict confidentiality regarding all client information and comply with UAE data protection laws. Personal and business information is only shared as necessary for service delivery or as required by law.

Limitation of Liability & Non-Excludable Rights

Our total cumulative liability for any claims arising out of or related to our services, whether in contract, tort, or otherwise, shall not exceed the total fees actually paid by the client to the Company for the specific service in question.

Important Legal Carve-Out: Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited under the governing laws of the United Arab Emirates.

Excluded Damages

We shall not be liable for indirect, consequential, punitive, or special damages, including lost profits, business interruption, or opportunity costs.

Client Indemnification

Clients agree to indemnify us against claims arising from false information, non-compliance with laws, or actions taken contrary to our advice.

We shall not be liable for delays or inability to perform due to circumstances beyond our reasonable control, including:

• Government actions, policy changes, or regulatory modifications
• Natural disasters, pandemics, or public health emergencies
• Political instability, civil unrest, or security threats
• Technology failures, cyber attacks, or system outages
• Strike, labor disputes, or supplier failures

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from our services shall be resolved through:

1. Direct negotiation and mediation
2. UAE commercial arbitration if mediation fails
3. Dubai courts as the final jurisdiction

We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. Significant changes will be communicated to active clients, and continued use of our services constitutes acceptance of updated Terms.
